Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Noventa Solutions ("Noventa", "we", "us", or "our"), the operator of Noventa Solutions and the platform available at noventasolutions.co and app.noventasolutions.co (the "Service"). By creating an account, subscribing to, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The Noventa service

Noventa is a process intelligence and operational excellence platform that allows organizations to register processes, monitor KPIs, detect performance gaps, execute structured improvement methodologies, capture evidence, and produce management reporting. We may add, change, or remove features over time. We provide the Service on an "as available" basis as described in Section 10.

3. Accounts & organizations

To use the Service you must create an account and provide accurate information. You are responsible for safeguarding your credentials and for all activity under your account. Accounts belong to an organization; the individual who creates or is designated as the account holder controls the organization's subscription, billing, and members. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

4. Acceptable use

You agree not to:

• use the Service in violation of any applicable law or regulation;
• upload content you do not have the right to use, or that infringes the rights of others;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• reverse engineer, resell, or copy the Service except as permitted by law;
• use the Service to store or transmit malicious code, or to interfere with its operation.

5. Subscriptions, billing & Paddle

Noventa offers Free, Pro, Business, and Enterprise plans as described on our Pricing page. Paid plans are offered on a monthly or annual recurring subscription basis. We do not offer a free trial or introductory discount; the price shown at purchase is the full recurring price.

Paddle as Merchant of Record. All paid orders are processed by Paddle.com Market Ltd, our authorized reseller and Merchant of Record. When you purchase a subscription, your contract for the purchase is with Paddle, and Paddle's Buyer Terms and Privacy Policy apply to that transaction in addition to these Terms. Paddle collects payment, issues invoices and receipts, and appears as the seller on your payment statement.

Recurring billing. Paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price, unless cancelled before the renewal date. By subscribing, you authorize Paddle to charge your payment method on a recurring basis until you cancel.

Price changes. We may change subscription prices. Any change applies to your next renewal after we or Paddle give you reasonable prior notice.

6. Cancellations & refunds

You may cancel your subscription at any time from your account; cancellation stops future renewals and your plan remains active until the end of the current paid period. Refunds are governed by our Refund Policy and are processed by Paddle as Merchant of Record.

7. Taxes

As Merchant of Record, Paddle calculates, collects, and remits applicable sales tax, VAT, GST, or similar taxes on your purchase where required. Prices shown may be exclusive of tax until your location is determined at checkout.

8. Your data & content

You retain all rights to the process data, datasets, documents, and other content you upload to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you. We handle personal data as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Your Content.

9. Intellectual property

The Service, including its software, design, methodologies engine, and branding, is owned by Noventa Solutions and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No rights are granted except as expressly stated.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. Noventa is a decision-support tool; you are responsible for decisions made using its outputs. We do not warrant that the Service will be uninterrupted, error-free, or that results will meet your requirements.

11. Limitation of liability

To the maximum extent permitted by law, Noventa Solutions and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid for the Service in the twelve (12) months before the event giving rise to the claim.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service unlawfully. On termination, your right to use the Service ends; you may request an export of Your Content within a reasonable period before deletion.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will notify you by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of Lebanon (Beirut), without regard to its conflict-of-law rules. The courts of Lebanon (Beirut) will have exclusive jurisdiction over any dispute arising from these Terms, except where prohibited by mandatory local consumer law.
